On 25 April 2014, the IRS and Treasury issued Notice 2014-32 (the Notice) in response to the cash repatriation strategy popularly known as the "Killer B", a triangular reorganization under Code Sec. 368(a)(1)(B). In this transaction, a foreign subsidiary generally purchases voting stock of its parent in exchange for cash or a note and then uses this stock to acquire all the issued and outstanding stock of a related target. The Notice represents the latest in a series of largely unsuccessful efforts on the part of the IRS and Treasury to shut down the Killer B using Code Sec. 367. In addition, the Notice targets a narrow class of inversion transactions that the IRS and Treasury view as abusive. In this column, the authors examine the history of the Killer B, corporate inversions and Code Sec. 367; analyse the Notice; and contemplate the future of the Killer B and inversion transactions
